Terms & Conditions

1. LEGAL STATUS OF THESE TERMS

These Terms constitute a legally binding agreement between you and Brixton & Co Consulting, the owner and operator of Bharat Business Networks™.

This document is an electronic record under the Information Technology Act, 2000, applicable rules and amendments and does not require a physical or digital signature.

Where any part of the Platform functions as an intermediary in relation to content or information submitted by users, applicable provisions of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, as amended from time to time, shall apply to the extent required by law.

References to "Bharat Business Networks™", the "Platform", "Company", "we", "us" or "our" shall, depending on the context, refer to BRIXTON & Co Consulting as the legal owner and operator of the Bharat Business Networks™ platform.

3. ACCEPTANCE OF TERMS

By accessing the Platform, creating an account, submitting information, applying for verification, purchasing a membership, participating in the community or otherwise using any Service, you acknowledge that you have read, understood and agreed to these Terms.

You also agree to our:

• Privacy Policy;
• Refund or Cancellation Policy, where separately published;
• Community Guidelines;
• Marketplace policies;
• event-specific terms;
• payment or EMI terms presented at checkout; and
• any other policies expressly incorporated into these Terms.

If you do not agree with these Terms, you must not use the Platform.

4. ELIGIBILITY

You may use the Platform only if you are legally capable of entering into a binding contract under applicable Indian law.

If you create an account or purchase a membership on behalf of a company, partnership, LLP, institution, organisation or other entity, you represent that you have authority to act on behalf of and bind that entity.

You agree that all information submitted by you shall be accurate, current, lawful and not misleading.

The Company may request additional documents or information where reasonably required for verification, fraud prevention, regulatory compliance, membership administration or security.

5. BUSINESS & PROFESSIONAL NATURE OF THE PLATFORM

Bharat Business Networks™ is primarily designed as a business, professional, entrepreneurial and networking ecosystem.

The Platform is intended to enable people, professionals, entrepreneurs, business owners, organisations, brands and companies to discover, connect, collaborate and explore opportunities.

Use of the Platform does not create any employer-employee, principal-agent, franchise, partnership, fiduciary or joint-venture relationship between the Company and a Member.

Nothing in these Terms excludes any statutory right that cannot lawfully be excluded.

6. BHARAT BUSINESS NETWORKS™ ECOSYSTEM

Depending upon membership, availability, location, eligibility and the stage of Platform development, Services may include:

• Ecosystem Membership;
• digital membership identity;
• B.Cred™ Verified Membership Identity;
• verification indicators;
• profile verification;
• credibility and membership badges;
• priority verification features.

6.2 Networking & Community

• verified networking community;
• member directory;
• member-to-member connections;
• in-house messaging or chat;
• community or business feed;
• networking groups and discussions.

6.3 Business Discovery & Leads

• business discovery tools;
• company and business information;
• business lead access;
• contact discovery;
• industry, geography and other search filters;
• lead unlocks and access features.

6.4 Business Profiles & Marketplace

• business profiles;
• company profiles;
• product and service catalogues;
• marketplace listings;
• buyer, seller, supplier, vendor and partner discovery.

6.5 Collaborations & Partnerships

Members may discover or participate in potential:

• collaborations;
• partnerships;
• vendor relationships;
• buyer-seller relationships;
• professional engagements;
• strategic opportunities;
• business introductions.

6.6 Summits, Forums & Experiences

The Platform may facilitate:

• summits;
• forums;
• conferences;
• leadership experiences;
• networking meetups;
• mixers;
• workshops;
• breakfasts;
• dinners;
• community events;
• partner events.

6.7 Recognition & Brand Opportunities

Eligible Members may have opportunities for:

• editorial recognition;
• ecosystem features;
• interviews;
• business showcases;
• brand collaborations;
• brand partnerships;
• sponsorships;
• campaigns; and
• other recognition opportunities.

Such opportunities may be subject to separate eligibility, editorial, commercial or partnership criteria and are not guaranteed membership entitlements unless specifically stated otherwise in writing.

7. ECOSYSTEM MEMBERSHIP

7.1 Membership

Bharat Business Networks™ may offer one or more membership programmes, including the Ecosystem Membership and promotional, early-member or recognition categories such as a Founding Circle, where applicable.

The exact:

• membership fee;
• membership duration;
• inclusions;
• introductory or promotional offer;
• access level;
• payment structure; and
• applicable taxes

shall be those displayed on the Platform, checkout page, invoice, payment page or written offer accepted by you at the time of purchase.

The purchase record applicable to your transaction shall govern where commercial terms differ between different membership campaigns or periods.

7.2 Membership Labels

Terms such as:

Member, Verified Member, Founding Member, Founding Circle Member, Premium Member, or similar descriptions are membership or recognition classifications only.

They do not provide:

• ownership in BRIXTON & Co Consulting;
• ownership or equity in Bharat Business Networks™;
• voting rights;
• management rights;
• entitlement to profits;
• franchise rights;
• employment status; or
• authority to represent or legally bind Bharat Business Networks™.

7.3 Membership Activation

Membership may be considered activated when one or more of the following occurs:

• successful payment confirmation;
• creation or activation of Member Dashboard access;
• issuance of a membership identity;
• commencement of verification;
• activation of paid features;
• provision of membership benefits; or
• other activation confirmation communicated by the Company.

7.4 Membership Access

Membership access is issued to the person or entity identified during registration.

Membership accounts, credentials, badges and membership identities may not be sold, transferred, rented, sublicensed or commercially shared without prior written approval from Bharat Business Networks™.

8. B.CRED™ VERIFICATION & MEMBERSHIP IDENTITY

B.Cred™ and other verification indicators are proprietary credibility and membership features of Bharat Business Networks™.

Verification may be based on information, documentation, public information, corporate information, user-submitted information, internal checks or other parameters determined by the Company.

A B.Cred™ badge or verification indicator:

• confirms only that applicable Platform verification criteria have been completed;
• is not Government certification;
• is not statutory registration;
• is not legal due diligence;
• is not financial or credit certification;
• is not investment advice;
• is not a guarantee of identity beyond the scope of checks undertaken;
• is not an endorsement of any Member's products or services; and
• does not guarantee the reliability, solvency, legality or performance of a Member.

Members should independently conduct appropriate due diligence before entering into any business transaction.

The Company may suspend, modify or withdraw verification status if information becomes inaccurate, unverifiable, misleading, outdated or contrary to Platform policies.

Unauthorised use, duplication, manipulation or misrepresentation of a B.Cred™ badge or Bharat Business Networks™ membership identity is prohibited.

9. FEES, TAXES & PAYMENT

You agree to pay the price displayed and accepted by you at the time of purchase.

Unless otherwise indicated:

• applicable taxes may be included in or added to the displayed price;
• payments must be made through approved payment methods;
• payment processing may be undertaken by third-party payment gateways; and
• access may begin only after successful payment authorisation.

Pricing may vary between:

• introductory offers;
• founding-member offers;
• promotional campaigns;
• membership periods;
• corporate arrangements;
• partnership programmes; and
• future versions of membership.

A subsequent change in price does not retrospectively change the amount paid for an already completed transaction.

10. EMI & THIRD-PARTY FINANCING

The Platform may enable payment through EMI or financing arrangements offered by third-party banks, NBFCs, card issuers, financial institutions or payment service providers.

Bharat Business Networks™ and BRIXTON & Co Consulting are not banks, NBFCs or lending institutions and do not independently provide credit unless expressly stated otherwise and legally authorised.

Where EMI is selected:

10.1 Approval

EMI eligibility and approval are determined exclusively by the relevant lender or payment provider.

10.2 Charges

Interest, processing charges, taxes, late-payment charges, foreclosure charges and other financing terms are governed by the agreement between you and the financing provider.

10.3 Payment to the Company

Where the financing provider settles the purchase amount with the Company, the membership purchase may be treated as paid to the Company even though you continue to repay instalments to your lender.

10.4 Cancellation Does Not Cancel EMI

Cancellation, suspension, non-use or termination of your membership does not automatically cancel your EMI, card instalment or financing obligations.

Your repayment obligations remain governed by your separate agreement with the lender.

10.5 Lender Disputes

Bharat Business Networks™ shall not be responsible for lending decisions, credit limits, interest calculations, late charges, credit reporting or other independent acts of the financing institution.

11. CANCELLATION & REFUND POLICY

11.1 Digital Nature of Membership

Membership provides access to digitally delivered Services, Platform infrastructure, verification, discovery, community, marketplace and other ecosystem benefits.

Once paid Services or membership access have been activated, membership fees are generally non-refundable, except:

• where expressly stated otherwise by Bharat Business Networks™ in writing;
• in the case of an established duplicate or erroneous payment;
• where the Company approves a refund at its discretion; or
• where a refund is required under applicable law.

11.2 Non-Usage

Failure to use the Platform or any particular feature does not by itself entitle a Member to a refund.

No refund shall ordinarily arise merely because a Member:

• does not generate business;
• does not receive responses from other Members;
• does not convert leads;
• does not attend events;
• does not use marketplace features;
• does not obtain a collaboration;
• does not receive editorial recognition;
• does not secure a brand partnership; or
• otherwise does not achieve a particular commercial objective.

11.3 Suspension for Member Breach

No refund shall ordinarily be due where access is restricted or terminated because of fraud, misuse, unlawful activity, harassment, abuse, non-payment, breach of these Terms or material violation of Platform policies.

This provision remains subject to any rights that cannot lawfully be waived.

11.4 EMI or Financed Transactions

A refund or cancellation approved by Bharat Business Networks™ does not automatically terminate financing arrangements.

Any lender-side adjustment shall remain subject to the policies and processing timelines of the relevant payment or financing institution.

12. BUSINESS DISCOVERY & LEAD ACCESS

The Platform may provide Members with access to business discovery information, company information, business contact information or related commercial data.

Information may originate from:

• publicly available records;
• government or corporate registries;
• business websites;
• Member-submitted information;
• authorised data providers;
• third-party sources; or
• other lawful sources.

Bharat Business Networks™ does not warrant that every record is complete, current or error-free.

12.1 No Guarantee of Lead Conversion

A "lead", company record, contact, introduction or discovery result represents information made accessible through the Platform.

It does not mean that the identified person or organisation:

• has expressed purchase intent;
• has requested contact;
• is currently seeking the relevant product or service;
• will respond;
• will enter into a transaction; or
• will generate revenue for the Member.

12.2 Acceptable Use of Business Information

Business information accessed through the Platform must be used responsibly, lawfully and for legitimate professional or business purposes.

Members remain independently responsible for complying with applicable laws governing their communications, marketing, outreach, data processing and commercial activity.

Access to information through Bharat Business Networks™ does not constitute permission from Bharat Business Networks™ to send unlawful spam or otherwise engage in communications prohibited under applicable law.

12.3 Prohibited Data Exploitation

Unless expressly authorised in writing, Members must not:

• systematically scrape the Platform;
• use bots or automated tools to harvest information;
• copy substantial portions of Platform databases;
• resell Platform information or data;
• publish bulk databases obtained through Bharat Business Networks™;
• operate, develop or support a competing database, lead-generation service, directory or data service using information obtained through Bharat Business Networks™;
• circumvent lead-access restrictions;
• share credentials to enable unauthorised access; or
• use Platform information for fraud, harassment or unlawful profiling.

Reasonable technical limits, anti-abuse systems or fair-use mechanisms may be implemented to protect the Platform, Members and databases.

13. MARKETPLACE

Bharat Business Networks™ may enable Members to showcase products and services and discover buyers, sellers, suppliers, vendors and service providers.

Unless expressly stated otherwise for a particular transaction:

Bharat Business Networks™ is not the buyer, seller, manufacturer, distributor, supplier, employer or contracting party in transactions entered into between Members.

Members are responsible for independently evaluating:

• identity;
• specifications;
• pricing;
• licences;
• qualifications;
• warranties;
• regulatory approvals;
• taxes;
• delivery;
• quality;
• payment;
• contracts; and
• counterparty risk.

Bharat Business Networks™ does not guarantee the quality, legality, authenticity, safety or suitability of Member-listed products or services.

Disputes relating to Member-to-Member transactions shall primarily be resolved between the relevant parties.

14. MEMBER COMMUNITY, FEED & CHAT

Members may be able to publish posts, interact with other Members, send messages or participate in community discussions.

The availability of communication tools does not mean that Bharat Business Networks™ endorses communications made by Members.

Members are responsible for their own communications and conduct.

Members must not use Platform communication features for:

• harassment;
• threats;
• hate or unlawful discrimination;
• fraudulent schemes;
• impersonation;
• deceptive solicitations;
• illegal activity;
• malicious software;
• repetitive spam;
• unlawful sexual content;
• infringement of intellectual property;
• deceptive synthetic or manipulated media; or
• other activity prohibited by law or Platform policy.

Bharat Business Networks™ may moderate, restrict, remove or investigate content and accounts where reasonably necessary for safety, legal compliance or Platform integrity.

15. USER-GENERATED CONTENT

"User Content" means information, text, logos, photographs, videos, catalogues, business descriptions, comments, posts, messages or other materials uploaded or submitted by a Member.

You retain ownership of rights you lawfully hold in your User Content.

By submitting User Content to the Platform, you grant Bharat Business Networks™ and its legal operator a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, format, display and technically process that content to:

• operate the Platform;
• provide requested Services;
• display your profile, listing or post;
• enable discovery and sharing within the Platform;
• maintain backups and security; and
• promote publicly visible Platform features or Member profiles where reasonably connected with the nature of the Service.

You represent that you possess all permissions necessary to provide the User Content.

You must not upload content that infringes copyright, trademarks, privacy, confidentiality or other third-party rights.

16. EDITORIAL RECOGNITION

Bharat Business Networks™ may publish editorial stories, Member showcases, interviews, recognitions, lists, features or campaigns celebrating individuals and organisations participating in or contributing to Bharat's ecosystem.

Editorial recognition:

• is discretionary;
• may be subject to separate eligibility criteria;
• is not guaranteed by membership;
• does not constitute Government recognition;
• does not constitute an award of statutory status;
• does not represent investment, financial or legal endorsement; and
• may be edited, updated, declined or removed where reasonably appropriate.

Purchasing membership alone does not guarantee editorial publication.

Where content is sponsored, partnered or promotional, appropriate disclosures may be made where required.

17. BRAND PARTNERSHIPS & COLLABORATION OPPORTUNITIES

Membership may provide access to or visibility for potential collaborations, partnerships and brand opportunities.

The availability of such opportunities does not guarantee:

• selection;
• sponsorship;
• payment;
• commercial deals;
• partnerships;
• endorsements;
• investment; or
• minimum revenue.

Any partnership or commercial arrangement may be subject to separate terms, eligibility requirements and written agreements.

18. SUMMITS, FORUMS, MEETUPS & EXPERIENCES

Membership may provide Members with access, eligibility, invitations or opportunities to participate in networking experiences.

Unless expressly stated as included within a membership:

event participation, tickets, venue charges, food and beverage, travel, accommodation, premium experiences or third-party costs may be charged separately on actuals or under event-specific pricing.

Events may be:

• organised by Bharat Business Networks™;
• co-hosted with partners;
• hosted by independent third parties;
• invitation-only;
• capacity limited; or
• subject to additional eligibility criteria.

Schedules, venues, speakers, formats and programmes may change for operational or unavoidable reasons.

Event-specific cancellation and refund conditions may apply separately.

19. NO GUARANTEE OF BUSINESS RESULTS

Bharat Business Networks™ provides access, infrastructure, discovery, networking and collaboration opportunities.

Bharat Business Networks™ does not guarantee:

• leads;
• revenue;
• sales;
• customers;
• investments;
• employment;
• fundraising;
• partnerships;
• collaborations;
• media coverage;
• marketplace transactions;
• event invitations;
• brand deals;
• profitability;
• business success; or
• any particular return on membership fees.

Commercial outcomes depend on numerous factors outside the Company's control, including Member participation, market conditions, communication, pricing, demand and independent decisions of third parties.

Statements describing potential opportunities, benefits or Member experiences must not be interpreted as promises of future performance.

20. USER RESPONSIBILITIES

You agree to:

1. maintain accurate account information;
2. protect your login credentials;
3. use the Platform lawfully;
4. communicate professionally with other Members;
5. conduct independent due diligence before transactions;
6. obtain required licences and registrations for your own business;
7. comply with applicable taxation and commercial laws;
8. respect the intellectual property and confidentiality of others; and
9. promptly notify Bharat Business Networks™ of suspected unauthorised access to your account.

You are responsible for activities undertaken through your account unless caused by circumstances for which the Company is legally responsible.

21. PROHIBITED ACTIVITIES

You must not:

• provide fraudulent or materially misleading information;
• impersonate another person or business;
• create fake or duplicate accounts for deceptive purposes;
• misuse B.Cred™ or another verification badge;
• misrepresent your relationship with Bharat Business Networks™;
• claim endorsement by Bharat Business Networks™ where none exists;
• scrape, harvest or systematically extract Platform data;
• reverse engineer or interfere with Platform software;
• introduce malware or malicious code;
• circumvent access, security or payment controls;
• infringe third-party rights;
• harass or threaten Members;
• operate scams, pyramid schemes or fraudulent investment schemes;
• distribute unlawful spam;
• sell unauthorised access to the Platform;
• manipulate reviews, recommendations or identity information;
• upload unlawful or deceptively manipulated content; or
• use the Platform for any activity prohibited by applicable law.

22. PLATFORM MODERATION

Bharat Business Networks™ may investigate suspected violations and, where reasonably necessary:

• remove content;
• limit visibility;
• issue warnings;
• restrict communication privileges;
• pause verification;
• suspend features;
• suspend accounts;
• terminate accounts;
• preserve relevant records; or
• cooperate with lawful authorities.

Where practical and appropriate, Bharat Business Networks™ may provide a Member with an opportunity to clarify or correct an issue.

Nothing in these Terms obliges Bharat Business Networks™ to continuously monitor every communication or Member activity.

23. INTELLECTUAL PROPERTY

The Platform and its proprietary materials, including without limitation:

• Bharat Business Networks™;
• B.Cred™;
• proprietary product and feature names;
• trademarks;
• logos;
• interfaces;
• designs;
• graphics;
• software;
• databases;
• algorithms;
• dashboards;
• taxonomy;
• proprietary content;
• documentation; and
• Platform architecture

are owned by or licensed to BRIXTON & Co Consulting and are protected by applicable intellectual property laws.

Membership provides only a limited, revocable, non-exclusive, non-transferable right to use the Services in accordance with these Terms.

No intellectual property or ownership rights are transferred to a Member.

24. THIRD-PARTY SERVICES

The Platform may integrate with or link to services operated by third parties, including:

• payment gateways;
• lenders;
• communications providers;
• analytics providers;
• event partners;
• cloud providers;
• authentication providers;
• social networks;
• mapping providers; or
• other technology services.

Those services may be governed by their own terms and privacy policies.

Bharat Business Networks™ is not responsible for the independent acts, omissions, outages or policies of third-party providers except to the extent liability cannot lawfully be excluded.

25. AI-ENABLED FEATURES

Bharat Business Networks™ may introduce artificial-intelligence or automated features from time to time.

AI-generated or automated outputs may contain errors, omissions or inaccuracies.

Such outputs are provided for informational or productivity purposes and should not be relied upon as a substitute for professional:

• legal;
• financial;
• investment;
• taxation;
• medical;
• regulatory; or
• other specialist advice.

Users remain responsible for reviewing outputs before relying upon or publishing them.

26. PRIVACY & PERSONAL DATA

Personal data is processed in accordance with the Bharat Business Networks™ Privacy Policy and applicable law.

This includes, as and when applicable and in force, relevant provisions of:

• the Digital Personal Data Protection Act, 2023;
• applicable rules framed under the Digital Personal Data Protection Act;
• the Information Technology Act, 2000; and
• other applicable legal or regulatory requirements.

Applicable requirements may come into force in phases, and the Company's practices and policies may be updated accordingly.

The Privacy Policy forms an integral part of these Terms.

27. COMMUNICATIONS

By registering for the Platform, you agree to receive communications reasonably necessary for providing the Services, including:

• verification messages;
• security alerts;
• invoices;
• membership updates;
• service announcements;
• transaction confirmations;
• account notices; and
• important policy communications.

Promotional and marketing communications shall be managed in accordance with applicable law, consent requirements and available communication preferences.

28. SECURITY

Bharat Business Networks™ may implement commercially reasonable administrative, organisational and technical measures designed to protect Platform information and accounts.

However, no internet-based system can be guaranteed to be completely secure or continuously available.

Members must use reasonable care to protect passwords, devices and authentication credentials.

29. PLATFORM AVAILABILITY

Bharat Business Networks™ aims to maintain reliable access but does not guarantee uninterrupted or error-free operation.

Temporary interruptions may occur because of:

• maintenance;
• upgrades;
• security incidents;
• hosting outages;
• internet disruptions;
• payment provider issues;
• cyberattacks;
• third-party failures;
• legal requirements; or
• events outside reasonable control.

Scheduled or emergency maintenance may occur without advance notice where necessary.

30. CHANGES TO FEATURES

Bharat Business Networks™ is an evolving ecosystem.

The Company may introduce, remove, rename, combine, redesign or modify Platform features to improve Services, respond to legal requirements, maintain security or adapt its business model.

Membership provides access to the applicable ecosystem and benefits available under the relevant membership plan. It does not guarantee that every feature will remain technically identical throughout the membership period.

The Company will not intentionally remove the fundamental paid value of a membership in bad faith.

31. SUSPENSION & TERMINATION

Bharat Business Networks™ may suspend, restrict or terminate access where reasonably necessary because of:

• violation of these Terms;
• fraud;
• misrepresentation;
• non-payment;
• misuse of Platform data;
• abuse of Members;
• security risks;
• unlawful conduct;
• misuse of verification credentials;
• material infringement of rights;
• regulatory requirements; or
• serious threats to Platform integrity.

Termination does not affect rights, payment obligations or liabilities accrued before termination.

32. DISCLAIMERS

To the maximum extent permitted by law, the Platform is provided on an "as available" basis.

Bharat Business Networks™ does not warrant that:

• all information will always be accurate;
• every Member is commercially reliable;
• all businesses will remain operational;
• all leads will remain current;
• every message will receive a response;
• every marketplace listing will be accurate;
• every third party will perform its obligations; or
• all features will always be available.

Members should exercise independent commercial judgment and appropriate due diligence.

33. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, the Company shall not be liable for indirect, incidental, special, exemplary, punitive or consequential loss, including loss of:

• profits;
• anticipated revenue;
• business opportunity;
• contracts;
• goodwill;
• reputation; or
• data,

arising from use of the Platform.

Bharat Business Networks™ shall not ordinarily be liable for losses arising solely from transactions, negotiations or communications between Members.

Where the Company is legally liable and liability may lawfully be limited, aggregate liability relating to a particular paid Service shall not exceed the amount actually paid by the Member for the relevant Service giving rise to the claim.

Nothing in these Terms limits liability that cannot lawfully be excluded or restricted.

34. INDEMNIFICATION

To the extent permitted by law, you agree to indemnify and hold harmless BRIXTON & Co Consulting, Bharat Business Networks™ and their personnel against third-party claims, losses, liabilities, penalties and reasonable costs arising directly from:

• unlawful use of the Platform by you;
• fraudulent information submitted by you;
• your infringement of third-party rights;
• your User Content;
• your Member-to-Member transactions; or
• your material violation of these Terms.

This clause does not require a Member to indemnify the Company for the Company's own unlawful conduct.

35. FORCE MAJEURE

Bharat Business Networks™ shall not be responsible for delay or failure caused by circumstances beyond reasonable control, including:

• natural disasters;
• floods;
• fires;
• epidemics or pandemics;
• war;
• terrorism;
• civil disturbances;
• Government actions;
• strikes;
• internet outages;
• telecommunications failures;
• power failures;
• cyberattacks;
• hosting outages; or
• failures of critical third-party infrastructure.

36. GRIEVANCES & COMPLAINTS

Members may report:

• account issues;
• Platform misuse;
• unlawful content;
• impersonation;
• privacy concerns;
• marketplace disputes involving Platform conduct;
• intellectual property concerns; or
• other complaints

through the contact mechanisms provided by Bharat Business Networks™.

Where applicable law requires a designated grievance mechanism or officer, the appropriate information may be published separately on the Platform and shall form part of the applicable grievance process.

Bharat Business Networks™ may request reasonable supporting information before acting on a complaint.

37. GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of India.

38. DISPUTE RESOLUTION

38.1 Good-Faith Resolution

Before commencing arbitration, the parties shall attempt in good faith to resolve the dispute through written discussions.

Either party may issue a written notice describing the dispute.

The parties shall ordinarily have 30 days from receipt of the notice to attempt an amicable resolution.

38.2 Arbitration

If the dispute remains unresolved, it may be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended.

The arbitration shall be conducted by a sole independent arbitrator mutually agreed upon by the parties.

If the parties are unable to agree upon an arbitrator, appointment shall be made in accordance with the procedure available under applicable arbitration law through the competent court or authority.

Neither party shall have an exclusive unilateral right to appoint the arbitrator.

Proceedings may be conducted physically, virtually or through a hybrid format as determined by the arbitral tribunal in accordance with applicable law.

38.3 Court Jurisdiction

Subject to the arbitration provisions above and applicable law, courts having competent jurisdiction in Bengaluru, Karnataka shall have jurisdiction over matters arising from these Terms.

Nothing prevents either party from approaching a competent court for urgent interim or injunctive relief where permitted by law.

39. MODIFICATION OF TERMS

Bharat Business Networks™ reserves the right to modify these Terms, policies or feature rules at any time.

Updated Terms will be effective immediately upon publication on the Platform unless stated otherwise.

Continued use of the Platform following publication of updated Terms constitutes acceptance of those updates.

40. ASSIGNMENT

Members may not assign, transfer or sublicense their membership, rights or obligations under these Terms.

BRIXTON & Co Consulting and Bharat Business Networks™ may assign or transfer rights, obligations or the Platform to any affiliate, successor, purchaser or partner without prior notice.

41. SEVERABILITY

If any provision of these Terms is found by a competent court or arbitrator to be invalid or unenforceable, that provision shall be severed or modified to the minimum extent necessary to make it lawful, and the remainder of the Terms shall continue in full force and effect.

42. WAIVER

Any delay or failure to enforce a right under these Terms does not constitute a waiver of that right. A waiver shall only be valid if provided in writing and signed by an authorised representative of Bharat Business Networks™.

43. ENTIRE AGREEMENT

These Terms, together with the Privacy Policy and any specific policies incorporated by reference, constitute the entire agreement between you and the Company with respect to the Platform.

They supersede all prior understandings, discussions, oral agreements or representations.

44. SURVIVAL

Provisions which by their nature should reasonably survive termination shall survive.

This includes, without limitation, clauses relating to:

• Intellectual Property;
• Limitation of Liability;
• Disclaimers;
• Indemnification;
• Governing Law; and
• Dispute Resolution.
